Who We Are

The Ayer Hitam Planting Syndicate Limited was founded on 15 March 1907 and initially cultivated rubber at its Bukit Hitam Estate in Selangor. The company was listed on Bursa Malaysia on 28 March 1961 and now boasts market capitalisation of more than RM500 million.

Its principal activities then were in the plantation segment where it cultivated rubber and oil palm and in the property sector where it developed homes, commercial units and industrial buildings.

In 2007, the company celebrated its centennial year and adopted a new name, TAHPS Group Berhad.

In 2017, TAHPS announced its rebranding and changed its name to AYER Holdings Berhad.

Its subsidiaries include The Ayer Hitam Development Sdn Bhd, Bukit Hitam Development Sdn Bhd and Cendana Maju Construction Sdn Bhd.

Milestones

  1. On 15 March 1907 The Ayer Hitam Planting Syndicate Limited was registered and incorporated under the Companies Enactment, 1897. The authorised share capital was $500,000 divided into 500,000 shares of $1.00 each. The first directors were Messrs. R.W. Harrison, John Gibson, G.H. Day and P.W. Parkinson.

  2. Listed on the Kuala Lumpur Stock Exchange on 28 March 1961 with a paid-up capital of RM 1,318,275.

  3. Acquired Gali Estate in Raub, Pahang by issuance of 950,000 shares. TAHPS issued and paid-up share capital increased to RM 2,268,275.
    Messrs Lim Yee Teck, Lim Yee Hoh and Lim Yee Bee were registered as the major shareholders of The Ayer Hitam Planting Syndicate Limited.

  4. The Ayer Hitam Planting Syndicate Limited was re-named to The Ayer Hitam Planting Syndicate Berhad (TAHPS) after the Companies Act 1965 was enacted.

  5. The Ayer Hitam Planting Syndicate Berhad incorporated a wholly owned subsidiary, The Ayer Hitam Development Sdn Bhd with an authorised paid-up capital of RM 10.0 million to undertake property development activities.

  6. The Ayer Hitam Planting Syndicate Berhad executed a shareholders' agreement with Perbadanan Kemajuan Negeri Selangor (PKNS) for the purpose of participating in an equally shared (50:50) joint venture via Bukit Hitam Development Sdn Bhd to undertake property development.
    The Ayer Hitam Planting Syndicate Berhad disposed 1,290 acres of land for RM 122.5 million in Mukim Dengkil and Mukim Petaling, Selangor to Bukit Hitam Development Sdn Bhd for joint venture development.

  7. The Ayer Hitam Planting Syndicate Berhad undertook a bonus issue of 22,682,750 ordinary shares of RM 1.00 each. The paid up capital after the bonus issue was RM 24,951,025.

  8. The Ayer Hitam Planting Syndicate Berhad’s wholly-owned subsidiary, The Ayer Hitam Development Sdn Bhd, embarked on the development of Bandar Puchong Utama Commercial Centre on an area of 53 acres, comprising 288 units of shop offices and a commercial complex.

  9. The Ayer Hitam Planting Syndicate Berhad’s joint venture company with PKNS, Bukit Hitam Development Sdn Bhd commenced construction works on the development of the Bukit Puchong township on the site of the former Bukit Hitam Estate.

  10. The Ayer Hitam Planting Syndicate Berhad was recognized by the Registrar of Companies (ROC) in the ROC 100 years celebration as one of the pioneer companies in Malaysia which is still active. The following citation was from ROC - "Syarikat tertua dan masih aktif".

  11. The Ayer Hitam Planting Syndicate Berhad undertook a bonus issue of 49,902,050 ordinary shares of RM 1.00 each. After the bonus issue, the paid-up capital increased to RM 74,853,075.

  12. The Ayer Hitam Planting Syndicate Berhad wholly-owned subsidiary, The Ayer Hitam Development Sdn Bhd, acquired Cendana Maju Construction Sdn Bhd (CMC) - a company specializing in the pre-cast concrete construction method of Industrialised Building Systems (IBS).

  13. On 6 September 2005, The Ayer Hitam Planting Syndicate Berhad entered into a Sale and Purchase Agreement with Perbadanan Kemajuan Negeri Selangor (PKNS) to acquire PKNS’s 50% equity interest in Bukit Hitam Development Sdn Bhd.

  14. Completed the acquisition of the 50% block of shares in Bukit Hitam Development Sdn Bhd belonging to Perbadanan Kemajuan Negeri Selangor (PKNS) on 25 January 2006 for RM 104.0 million.
    In November 2006, Cendana Maju Construction Sdn Bhd was awarded The Malaysian Construction Industry Excellence Award 2006 Special Award in the Industrialised Building System (IBS) category.
    On 30 November 2006, The Ayer Hitam Planting Syndicate Berhad wholly owned subsidiary, Bukit Hitam Development Sdn Bhd acquired two ordinary shares of RM 1.00 each representing 100% equity interest in BBP Management Services Sdn Bhd whose intended principal activity is to provide property management services.

  15. The Ayer Hitam Planting Syndicate Berhad celebrated its 100th year milestone and renamed to TAHPS Group Berhad.

  16. TAPHS Group Berhad acquired the shares of Yee Seng Plantations Sdn Bhd, who primarily owns a piece of plantation land measuring approximately 2,102 hectares in Kretay, Terengganu and a piece of agricultural land measuring of approximately 2,023 hectares in Pasir Raja, Terengganu.

  17. On 26 December 2017, The Ayer Hitam Planting Syndicate Berhad was re-named to AYER Holdings Berhad.
    On 28 December 2017, the company’s Stock Short Name was changed to AYER.
